Lakshmikumaran & Sridharan Attorneys (LKS) acted as legal counsel for IndiaMART InterMESH Limited (“IndiaMART”), India's largest B2B marketplace, in secondary acquisition of securities of Mobisy Technologies Private Limited (“Mobisy”).
Mobisy operates Bizom, a SaaS based end-to-end retail intelligence platform for brands and B2B retailers. The platform allows businesses to digitize the end-to-end sales and distribution platform from sales force automation, distributor management system, and retail execution and management. IndiaMART was an existing investor in Mobisy.
The transaction also entailed the acquisition of the existing investor securities by J&A Partners and Pavestone Technology Fund, as well as primary issuance of securities of Mobisy to the said investors. Further, the compulsorily convertible debentures, previously subscribed by IndiaMART, were also converted into compulsorily convertible preference shares of Mobisy.
The current investment in Mobisy is a part of IndiaMART's strategic investment and in-line with its long-term objective of venturing into software-as-a-service space.
LKS acted as the legal counsel for IndiaMART and advised on all aspects related to the transaction. The role involved advising on the transaction structure and negotiation and finalization of the transaction documents.
